The only "upgrade only" word is on the DVD disk itself, so I just used another disk (I actually downloaded MSDN x64 ISO, that can be found on the net: en_windows_8_x64_dvd_915440.iso) and just used the key from this box. There is no Agreement inside the box and an Agreement during installation do NOT limit usage to "upgrade only" as well.
